Terms and Legal Definitions
By this private instrument, the parties:
CARDIO SISTEMAS COMERCIAL INDUSTRIAL LTDA., located at Av. Paulista, 509, Floor 1 and 2, Suites 201, 212-214, Bela Vista, São Paulo/SP, registered with the CNPJ under No. 51.961.258/0001-95, hereinafter referred to as CARDIOS;
CLIENT, duly identified and qualified in the Sales Order, hereinafter referred to as CLIENT;
Have between them just and contracted to sign this Sales Contract for Products and Services (“Contract”), which shall be governed by the clauses and conditions below.
FIRST CLAUSE - DEFINITIONS
CLIENT: individual or legal entity duly qualified in the Sales Order.
Equipment: devices described in the Sales Order.
Software: program necessary for the use of the Equipment, excluding source code.
Product: set formed by Equipment, Software, and/or Accessories acquired.
Accessory: items that complement the functioning of the Product.
Service: labor, training, or warranty extension contracted.
Data Backup: backup copy that must be kept by the CLIENT.
Technical Support: service via phone, internet, or in-person.
Version Update: new versions of the Software made available during the warranty period.
Training: training of end users for the correct operation of the products.
SECOND CLAUSE - INFORMATION TO THE CLIENT
The acceptance of the Sales Order binds the CLIENT to the terms of this Contract.
The delivery and supply of products depend on the CLIENT's qualification process (doctors, clinics, hospitals, universities, public agencies, or distributors must provide specific documentation).
Personal data provided in the Sales Order are processed and stored exclusively for billing, delivery, post-sale, and traceability according to ANVISA norms.
THIRD CLAUSE - OBJECT
Sale of industrialized and/or marketed products by CARDIOS, including equipment, software, accessories, and related services.
FOURTH CLAUSE - PRICES, PAYMENT, AND DELIVERY
Values and conditions are agreed upon in the Sales Order and do not guarantee future prices.
Payment delays: 2% fine + 1% interest per month.
Payments can be made via boleto, deposit, credit card, or financing.
Delivery to the address provided in the Sales Order. Exceptions may occur (force majeure, tax retention, incorrect addresses, etc.).
Up to 3 delivery attempts will be made; after that, the order will return to CARDIOS.
The CLIENT must verify the product at the time of delivery.
FIFTH CLAUSE - CLIENT'S OBLIGATIONS AND RIGHTS
Change of Mind: return within 30 calendar days after delivery, with full refund.
Exchange for Manufacturing Defect: up to 90 days after delivery, according to the Consumer Protection Code.
Online Purchases (e-commerce): exchange within 15 days if it does not meet expectations.
Promotions: the amount considered will be the one effectively paid.
SIXTH CLAUSE - OBLIGATIONS OF CARDIOS
Provision of technical support and post-sale during the warranty period.
One free operational training session per Sales Order.
Possibility of technical visits and exclusive training subject to additional costs.
SEVENTH CLAUSE - WARRANTY
Products from CARDIOS have a factory warranty against manufacturing defects.
The warranty does not cover misuse, normal wear and tear, unauthorized modifications, inadequate storage, damage from liquids, falls, or altered serial numbers.
Warranty periods (including the 90-day legal period):
Holter: 1095 days
MAPA: 730 days
CardioMAPA: 1095 days
Arteris: 730 days
Software/licenses: 1095 days
Accessories: 90 days
Third-party products: manufacturer's warranty.
EIGHTH CLAUSE - INSTALLATION OF PRODUCTS
Free installation via remote support.
Additional costs may be charged if the service is in-person.
Installation videos available on the CARDIOS website and YouTube channel.
NINTH CLAUSE - TERMINATION FOR CAUSE
Contractual non-compliance leads to termination after 30 days of notification.
Payment delay exceeding 60 days automatically terminates the contract.
Products must be returned immediately; otherwise, CARDIOS may recover them judicially or extrajudicially.
TENTH CLAUSE - CONFIDENTIALITY
The parties must keep confidential the information received. Commercial conditions and prices cannot be disclosed to third parties.
ELEVENTH CLAUSE - COMPLIANCE
CARDIOS is part of the group Halma plc (United Kingdom) and strictly complies with anti-corruption and anti-bribery standards, including:
